These Terms govern your access to and use of the SecureShieldPay platform, websites and APIs (the "Service"). By signing up, you agree to these Terms.
1. The Service
SecureShieldPay provides chargeback analytics, dispute representment, monitoring and rapid resolution tools to authorized merchants. The Service is provided on a subscription basis with optional success-based fees.
2. Account
You are responsible for all activity under your account and for keeping credentials secure. Notify us immediately of any unauthorized access.
3. Fees & billing
- Subscription fees are billed monthly or annually in advance
- Success fees are billed monthly in arrears based on funds recovered
- All fees are non-refundable except as required by law
4. Acceptable use
You agree not to use the Service for unlawful activity, to attempt to circumvent rate limits or security controls, or to reverse-engineer any portion of the platform.
5. Customer data
You retain all rights to your data. You grant us a license to process it solely to deliver the Service. Our processing is governed by our Privacy Policy and DPA.
6. Warranties & disclaimers
The Service is provided on an "as is" basis. We make no warranty of specific dispute outcomes, since final decisions are made by issuing banks and card networks.
7. Limitation of liability
To the maximum extent permitted by law, our aggregate liability shall not exceed the fees you paid in the 12 months preceding the claim.
8. Termination
Either party may terminate for material breach with 30 days' notice. On termination we will return or delete your data as instructed.
9. Governing law
These Terms are governed by the laws of the State of New York. Disputes shall be resolved in the courts of New York County.
